Terms of Use

Thank you for your interest in the Workplace Professionals Training Institute, which seeks to increase the effectiveness of people, programs, and organizations committed to generating pathways out of poverty through employment. This website and our other online platforms (collectively, the “Site”) are operated by Workplace Professionals Training Institute (referred to in these Terms of Use as “we”, “us”, “our” and “WPTI”). WPTI offers the Site, including all information, tools, Content, User Content, trainings, and services on the Site (collectively, the “Services”) to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. 

By visiting or accessing the Site, purchasing or attending a training, registering to attend an event or program, making a donation or payment of any kind, or otherwise using our Services, you acknowledge that you have read, understood, and agreed to be bound by the following terms and conditions of use (“Terms of Use”), including the disclaimers of certain warranties, damage and remedy exclusions, and choice of New York law to govern disputes you have with WPTI. These Terms of Use are a binding legal agreement. If you do not agree with any part of these Terms of Use, you must not access or use the Site or use our Services. 

WPTI reserves the right to unilaterally modify these Terms of Use without notice, in whole or in part, at our sole discretion. If we decide to change these Terms of Use, we will post those changes here. We encourage you to review the Terms of Use regularly in order to remain informed of any changes. Any such change, modification, deletion, augmentation, or alteration to these Terms of Use will become effective as of the time they are posted to the Site. Your continued use of the Site will signify your continued agreement to these Terms of Use as they may be revised.

SECTION 1 – License and Proprietary Rights

Workplace Professionals Training Institute owns or controls the Site and the Services. All content on the Site, excluding User Content, is the sole and exclusive property of WPTI or its licensors, including all text, graphics, files, videos, thumbnails, works of authorship, materials, logos, trade names, digital downloads, data compilations, computer code, and audio and video clips (“Content”). You may access the Services and download or print Content presented through the Services in accordance with the various provisions and restrictions contained within these Terms of Use. Subject to these Terms of Use, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license right to use our Services. The rights granted herein are only for your personal, non-commercial use, unless you obtain our written permission otherwise. You also agree that you will create, access, and/or use only one user account, and you will not share access to your account or access information for your account with any third party. Using our Services does not give you ownership of or any intellectual property rights in our Services or the content you access. Any use of our Services for commercial purposes is strictly prohibited unless you obtain our written permission otherwise. 

We neither warrant nor represent that your use of the Content will not infringe rights of third parties not owned by or affiliated with WPTI. The Site may contain or reference trademarks, patents, proprietary information, technologies, products, processes or other proprietary rights of WPTI and/or other parties. WPTI reserves all copyrights, trademark, and other rights it has in all Content, excluding User Content.

From time to time, we may allow you to submit or upload material, ideas, content, and other information to WPTI or to the Site (“User Content”). Absent an agreement to the contrary, you retain ownership of your User Content, but by submitting your User Content, you irrevocably grant WPTI a worldwide, perpetual, royalty-free, assignable, sublicensable license to use your User Content in connection with the Site. We are and shall be under no obligation (1) to maintain any comments or submission in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. You allow us and all other users of the Site in any territory to use, adapt, and make your User Content available to others, without any obligation to you. 

You represent that you own the copyrights or hold all necessary rights to the User Content you upload or submit. You represent and warrant that you possess the legal right and ability to enter into this agreement and to use the Site in accordance with all terms and conditions herein. You represent and warrant that you have any required permissions to collect and provide any personal information, data, and User Content that you are uploading to the Site and that you are in compliance with all applicable laws, rules, and regulations regarding such personal information, data, and User Content. 

SECTION 2 – Warranties, Disclaimers, and Limitation of Liability

THIS SITE AND THE SERVICES ARE PROVIDED ON AN “AS IS, AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THOSE OF NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THIS SITE OR THE SERVICES, OR THE CONTENT, USER CONTENT, AND ANY OTHER SITE FEATURE. WPTI DOES NOT REPRESENT OR WARRANT THAT CONTENT OR USER CONTENT ON THIS SITE OR WITHIN THE SERVICES IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. 

UNDER NO CIRCUMSTANCES WILL WPTI (INCLUDING ITS DIRECTORS, DONORS, VOLUNTEERS, EMPLOYEES, SERVICE PROVIDERS, OR CONTRACTORS) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS OR REVENUES, THAT RESULT FROM THE USE OF OR INABILITY TO USE THIS SITE OR THE SERVICES, OR ANY CONTENT, USER CONTENT, OR OTHER SITE FEATURES, NOR SHALL WPTI (INCLUDING ITS DIRECTORS, DONORS, VOLUNTEERS, EMPLOYEES, SERVICE PROVIDERS, OR CONTRACTORS) BE RESPONSIBLE FOR ANY DAMAGES WHATSOEVER THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, ERRORS, DEFECTS, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE WHETHER OR NOT CAUSED BY EVENTS BEYOND WPTI’S REASONABLE CONTROL. UNDER NO CIRCUMSTANCES WILL WPTI (INCLUDING ITS DIRECTORS, DONORS, VOLUNTEERS, EMPLOYEES, SERVICE PROVIDERS, OR CONTRACTORS) BE LIABLE FOR ANY DAMAGE OF ANY KIND THAT RESULTS FROM THE USE OF, OR THE INABILITY TO USE, THE SITE OR THE SERVICES, EVEN IF WPTI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ACCESS AND DOWNLOAD ALL CONTENT AND USER CONTENT AT YOUR OWN RISK. 

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES; AS A RESULT, THE ABOVE LIMITATION OR EXCLUSION OF DAMAGES MAY NOT APPLY TO YOU. 

SECTION 3 – Acceptable Use

Using our Site or Services does not give you ownership of or any intellectual property rights in the Site or our Services or the content you access.

The following requirements apply to your use of the Site and the Services: (a) you will not use any feature of the Site or the Services for any purpose that is unlawful, tortious, abusive, intrusive on another's privacy, harassing, libelous, defamatory, embarrassing, obscene, threatening, hateful, or as otherwise may be prohibited by law or expose WPTI to damages, all as determined by WPTI in its sole and absolute discretion; (b) you will not collect or store personal information about other users; (c) you will not use the Site or the Services for any commercial purpose not expressly approved by WPTI in writing; (d) you will not upload, post, email, or otherwise transmit any advertising or promotional materials or any other form of solicitation or unauthorized communication; (e) you will not use any feature of the Site or the Services to spam, phish, pharm, pretext, spider, crawl, scrape, or engage in any similar activity; (f) you will not use any feature of the Site or the Services for any obscene or immoral purpose; (g) you will not use any feature of the Site to interfere with or circumvent the security features of the Site or the proper working of the Site, the Services, or any other website or online platform; (h) you will not use any manual process to monitor or copy any of the material on the Site or within the Services, or for any other unauthorized purpose without our prior written consent; (i) you will not use any device, software or routine that interferes with the proper working of the Site or the Services; (j) you will not introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful; (k) you will not attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Site or the Services, the server on which the Site and the Services are stored, or any server, computer or database connected to the Site or the Services; and (l) you will not attack the Site via a denial-of-service attack or a distributed denial-of-service attack.

If you post or transmit any User Content, you further agree that: (i) you will not post, submit, or transmit anything that is unlawful, harmful, tortious, defamatory, libelous, obscene, invasive of the privacy of another person, threatening, harassing, abusive, hateful, racist, infringing, pornographic, violent or otherwise objectionable or inappropriate as determined by WPTI; (ii) you will not upload, post, reproduce, or distribute any information, software, or other material protected by copyright or any other intellectual property right (as well as rights of publicity and privacy) without first obtaining the permission of the owner of such rights; (iii) you will not post any content that contains personal information about any individual, violates the privacy/publicity of any other individual or entity, or anything that you are under a contractual obligation to keep private or confidential; (iv) you will not impersonate any person or organization, including without limitation, the personnel of WPTI or its contractors, or misrepresent an affiliation with another person or organization; and (v) you will not post, upload, submit, or transmit any content that contains viruses, corrupted files, or any other similar software or programs that may adversely affect the operation of the Site or WPTI systems, the integrity of the Site or WPTI systems, or any feature of the Site or WPTI systems.

WPTI may deactivate any account at any time, and without notice, if WPTI deems that you have violated these Terms of Use, the law, or for any other valid reason. WPTI assumes no liability for any information removed from our Site and reserves the right to permanently restrict access to the Site or the Services. WPTI has no obligation to monitor, edit, or remove User Content, but we reserve the right, in our sole and absolute discretion, to modify, edit or remove any User Content, or to request a user to modify or edit his or her User Content, if a complaint or notice of allegedly infringing materials is received with respect to the User Content, or for any other reason.

You may not probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace, or seek to trace any information on any other user of or visitor to the Site or exploit the Site or any service or information made available or offered by or through the Site. You also may not upload, post, email, transmit, or otherwise make available any pirated content or material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment related to the Site. You agree not to reproduce, duplicate, copy, sell, resell or commercially exploit any portion of the Site, or Content, or User Content without express written permission by WPTI.

Any unauthorized use of the Site, including use of the Site for the foregoing purposes, and any unauthorized use of the Services, will terminate your right to access the Site or use any Services. Please be aware that any such unauthorized use may violate applicable laws, including copyright laws, trademark laws, or communications regulations or statutes. If WPTI does take any legal action against you as a result of your violation of these Terms of Use, WPTI will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to us. You agree that we will not be liable to you or to any third party for termination or limitation of your access to the Site as a result of any violation of these Terms of Use.

We reserve the right to refuse access to the Services to anyone for any reason at any time.

You agree to indemnify and hold harmless WPTI and its contractors, and our and their respective directors, officers, employees, volunteers, donors, and service providers from and against any claims, damages, and expenses, including reasonable attorneys' fees and costs, related to your violation of these Terms of Use or which arise from the use of any User Content that you submitted, posted, or otherwise provided to WPTI or this Site.

Professional licensure, certification, and job requirements for various professions may vary in each state and country, and job requirements may vary by employer. We do not guarantee licensure, certification or qualification for any profession or job on the basis of your completion of a course or training on or from WPTI. You are advised to research, understand and comply with the requirements in the applicable state and/or country in which you work or intend to work, and to investigate whether the course training in which you intend to enroll meets your academic and/or professional needs before enrolling.

Nothing in these Terms of Use or otherwise with respect to your participation in any courses or trainings: (a) establishes any relationship between you and WPTI; (b) enrolls or registers you in any third-party institution, or in any course or training offered by any third-party institution; or (c) entitles you to use the resources of any third-party institution beyond participation in the courses and trainings.

SECTION 4 – Personal Information

When submitting information to register an account, join our email list, purchase or register for a training, or for any other reason, you must provide us with current, complete, and accurate information as requested by the applicable form. It is your responsibility to maintain the currency, completeness, and accuracy of your information, and any loss caused by your failure to do so is your responsibility. 

By visiting or accessing our Site or Services, or submitting information, you acknowledge and consent to the collection, use, and sharing of information as described in our Privacy Policy. If you have questions about our privacy and data handling practices, please contact us at accounts@workforceprofessionals.org and note “Privacy and Legal” in your correspondence. By providing your email address to WPTI during the sign-up or membership process or otherwise, you agree to be contacted by WPTI about your account so that we can manage our relationship with you, including communicating with you about any upcoming events, new courses and trainings, or donor opportunities, in accordance with our Privacy Policy.

We reserve the right to condition your receipt of certain resources or Services, including those resources and Services that WPTI provides for free, on your providing us with certain requested information, such as demographic data, workforce experience, or the completion of short polls and surveys. If you would not like to provide the information we request, you can simply decline to receive the applicable resources or Services.

SECTION 5 – Registration

WPTI seeks to increase the effectiveness of people, programs, and organizations committed to generating pathways out of poverty through employment, and we expect you to act in an appropriate manner befitting this mission. You agree to comply with and adhere to any rules, restrictions, and guidelines provided to you in any registration forms, membership forms, or other documentation provided by WPTI from time to time. Failure to do so may result in your access being suspended or terminated. 

Users must be 13 years or older in order to access the Site or any training. By using the Site or registering for a training, you confirm that you are at least 13 years old. Otherwise, please refrain from registering and using the Site.

Once registered, if you access our Services with a username and password (“account credentials”), you must treat such information as confidential, and you must not disclose it to any third party. You may use only one user account. Your account linked with the email address you provided is personal and not transferable. You agree to immediately notify WPTI of any unauthorized use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You agree to use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. We are not responsible for any loss or damage resulting from a breach of your obligation to keep your account credentials confidential.

SECTION 6 – Transactions

Donations, course or training purchases, event fees, and other payments may be processed by us or by our third-party payment processor. When making any payment, you agree to provide current, complete, and accurate billing and account information. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we or our third-party payment processor can complete your transactions and contact you as needed. YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT TO USE ANY CREDIT CARD THAT YOU SUBMIT IN CONNECTION WITH A TRANSACTION, FOR PURPOSES OF THAT TRANSACTION. By submitting payment information, you grant to us the right to provide such information to third parties for purposes of facilitating particular transactions. Verification of information may be required prior to the acknowledgment or completion of any transaction.

WPTI offers paid Services (e.g., course certificates for certain courses) for a fee. Unless otherwise stated, fees are quoted in U.S. dollars (USD). You are responsible for paying all fees charged by or for WPTI and applicable taxes in a timely manner with a payment mechanism associated with the applicable paid Services. If your payment method fails or your account is past due, we may collect fees using other collection mechanisms. Fees may vary based on your location and other factors, and WPTI reserves the right to change any fees at any time at its sole discretion. Any change, update, or modification will be effective immediately upon posting through the relevant Services. 

Refunds may be available for paid Services, at our sole discretion. If you enroll and pay for an asynchronous course, WPTI will consider your request for a refund up to 14 days after enrollment, provided that you have not begun the course. If you enroll and pay for a synchronous course, WPTI will consider your request for a refund up to 5 business days before the course launches. After the course has begun, you are not eligible for a refund. If you do not earn your course certificate within one year from the purchase date, your registration will expire, and you will need to pay to re-enroll for the course. All refund requests must be sent to accounts@workforceprofessionals.org and note “ “Refund” in your title. Any refunds we provide will be subject to a 10 percent transaction fee. 

We reserve the right to adjust pricing for our Service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. 

SECTION 7 – Third-Party Content and Links

Through the Services, you will have the ability to access certain Content, videos, trainings, and services provided by contracted instructors or third parties. WPTI disclaims any responsibility or liability related to your access or use of, or inability to access or use, such third-party content.

Third-party links on the Site may direct you to third-party websites that are not affiliated with WPTI. We are not responsible for examining or evaluating the content or accuracy of, and we do not warrant and will not have any liability or responsibility for, any third-party materials or websites, or for any other materials, products, or services of third parties. We cannot guarantee that third-party materials or websites will be free of material you may find objectionable or otherwise inappropriate. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Your use of a third-party website will be subject to the privacy policies and governing legal terms of such third party. Please review carefully the third party’s policies and practices, and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.

SECTION 8 – Indemnity

To the fullest extent permitted under applicable law, you agree to defend, indemnify and hold harmless WPTI and its contractors, and our and their respective directors, officers, employees, volunteers, donors, service providers, successors, and assigns, from and against all claims, demands, liabilities, damages, judgments, awards, losses, deficiencies, costs, expenses and fees (including attorneys’ fees) arising out of or relating to: (i) your use of, or activities in connection with, the Services (including all Content and User Content); and/or (ii) any violation or alleged violation of these Terms of Use or the law of any jurisdiction by you.

SECTION 9 – Termination

These Terms of Use are effective unless and until terminated by either you or us. You may terminate these Terms of Use at any time by notifying us that you no longer wish to use our Services or participate in any WPTI events or programming, and thereafter ceasing all use of our Services, deactivating any account(s) you may have on our Sites, and refraining from participating in WPTI events or programming. If you have posted User Content, such User Content will continue to be subject to these Terms of Use unless and until you remove or delete all instances of the User Content.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Use, we also may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination, including for any indemnification claims for which you may be responsible.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

SECTION 10 – General Terms

The failure of WPTI to exercise or enforce, or any delay in exercising or enforcing, any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. These Terms of Use and any supplemental legal terms or operating rules posted by us on the Site constitutes the entire agreement and understanding between you and us, and govern your use of the Services and any trainings or events you participate in, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Use). Any ambiguities in the interpretation of these Terms of Use shall not be construed against the drafting party.

You may not transfer any of your rights or obligations under these Terms of Use to another party. We reserve the right to delegate, assign, or transfer our rights and obligations where doing so is consistent with the purpose or intention of the trainings and other Services provided by WPTI. 

In the event that any provision of these Terms of Use is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use. Such determination shall not affect the validity and enforceability of any other remaining provisions.

These Terms of Use and any separate agreements between WPTI and you shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflict of law rules. You agree that any action at law or in equity arising out of or relating to these Terms of Use or your access to or use of the Site or any Content or User Content shall be filed only in state or federal court located in New York, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any such suit, action, or proceeding.
